1. Agreement
These terms are between you (“Customer”) and Bayanova Private Limited, Jaipur, India, which operates Bayanova. By creating an account or using the service you accept them. If you are accepting on behalf of a company, you confirm you are authorised to bind it.
2. The service
Bayanova runs lead engagement journeys: qualification calls, follow-ups, scheduled callbacks and WhatsApp messages, with outcomes that decide the next step. We may change features over time. We will give reasonable notice before removing something you depend on.
3. Your account
- Give accurate details and keep them current. Keep credentials secret.
- You are responsible for everything done under your account, including by your team.
- Tell us promptly if you suspect unauthorised access.
4. Calling and messaging compliance
This section matters more than any other, because the legal exposure sits with you, not with us.
- You must have a lawful basis to contact every number you load into Bayanova, and you must honour consent and opt-out rules that apply to you.
- You must comply with TRAI regulations on commercial communication in India, including DND registries, and with the equivalent rules in any other country you call into.
- Where the law requires a recording announcement or consent, you must provide it.
- You must follow WhatsApp Business Platform policies for any message sent through the service.
- You must honour opt-out requests promptly and not reload a number that has opted out.
We may suspend an account that generates complaints, appears to be cold-calling without a lawful basis, or puts our carrier relationships at risk.
5. Acceptable use
You will not use Bayanova to:
- Send spam, scams, phishing or deceptive content.
- Impersonate a person or organisation, or hide the identity of the business placing the call.
- Harass, threaten or defraud anyone.
- Break any applicable law, or infringe anyone’s intellectual property.
- Probe, overload or reverse-engineer the service, or resell it without a written agreement.
6. AI-generated conversation
Calls are handled by an automated voice agent. It can misunderstand, and it can produce wrong or unexpected output. Do not use Bayanova as the sole basis for medical, legal, financial or other consequential decisions. You are responsible for reviewing outcomes before acting on them.
7. Your data
You own your data and your contacts’ data. You grant us the licence needed to host and process it to provide the service. Our handling is described in the Privacy Policy. On termination you may export your data; after the period stated there, we delete it.
8. Fees
- Fees are as quoted in your order or plan, exclusive of GST and other taxes, which you pay in addition.
- Usage-based charges — call minutes, messages, model usage — are billed in arrears.
- Invoices are due within the stated period. We may suspend the service on overdue amounts after notice.
- Fees already paid are non-refundable except where the law requires.
9. Availability
We aim for high availability but do not promise uninterrupted service unless a separate service level agreement says so. Telephony depends on carriers we do not control.
10. Confidentiality
Each side will protect the other’s non-public information and use it only for this agreement, except where disclosure is legally required.
11. Warranties
The service is provided “as is”. To the extent permitted by law we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.
12. Liability
Neither side is liable for indirect, incidental or consequential loss, or for lost profits or data. Our total liability in any 12-month period is limited to the fees you paid us in that period. Nothing here limits liability that cannot be limited by law.
13. Indemnity
You will indemnify us against claims arising from your use of the service in breach of these terms, and in particular from claims about calls or messages you sent without a lawful basis or without honouring opt-out rules.
14. Termination
You may close your account at any time. We may suspend or terminate for material breach, non-payment, or use that threatens the service or our carriers. Sections on data, fees, confidentiality, liability and indemnity survive.
15. Governing law
These terms are governed by the laws of India. The courts of Jaipur, Rajasthan have exclusive jurisdiction.
16. Changes
We may update these terms and will revise the date above. Material changes will be notified by email. Continued use after the effective date means acceptance.
